"The Voodoo Coffee Company Pty Ltd Trading as Voodoo Espresso" hereinafter referred to as "The Voodoo Coffee Company"

1. ORDERS AND FREIGHT CHARGES

1.1 Orders must be placed via the online ordering system provided by the Voodoo Coffee Company.
1.2 Freight charges apply to all orders, except where the order is picked up from the Voodoo Coffee Company's factory.
1.3 Freight is charged based on weight, parcel size, and parcel quantity. Accordingly freight charges may vary from order to order depending the contents of the order.
1.4 The customer is responsible for all freight charges applicable to any order.
1.5 Delivery times vary greatly for different destinations. They can be up to 7 business days for all states, except WA which can be up to 10. It is the customers responsibility to ensure they order in advance to avoid running short.

2. SUPPLY OF GOODS

2.1 The Voodoo Coffee Company agrees to supply all goods that are part of its standard product list.
2.2 Ownership of any goods supplied will not pass to the customer until such time as payment for the goods concerned has been received in full by The Voodoo Coffee Company.

3. RETURN OF GOODS

3.1 The return of goods will only be accepted if the goods are found to be faulty or defective. In these cases, The Voodoo Coffee Company will replace the goods at its own expense.
3.2 Where the goods are found not to be faulty or defective, the customer may be held liable for all costs relating to the return and replacement of the goods.

4. SALE OF GOODS

4.1 The customer is authorised to sell products supplied by The Voodoo Coffee Company through the business approved from the "Wholesale Customer Application" form only. If the goods are intended for sale through a business other than the one authorized by The Voodoo Coffee Company, prior written permission must be sought from The Voodoo Coffee Company, or another "New Customer Account & Credit Application" must be completed.

5. PAYMENT

5.1 Payment terms are strictly 7 days (refer to "Credit Policy" below). All customers who are approved for credit agree to abide by the credit policy for the supply of goods to commence.
5.2 Where the customer is not approved for credit, payment must be made by direct bank deposit or cheque prior to the goods being despatched.
5.3 Where non credit approved customers pay by cheque, the funds must be cleared prior to the goods being despatched.
5.4 Where payment is made by direct deposit, a receipt must be faxed to the office to confirm the deposit date and amount.

6. SUSPENSION OF SUPPLY AND ACCOUNT CANCELLATION

6.1 Where the customer is in violation of the these Terms Of Trade or The Voodoo Coffee Company's Credit Policy, we reserve the right to refuse further supply of all goods until such time that all issues have been rectified to the satisfaction of The Voodoo Coffee Company.
6.2 Where the customer is in repeated breach of these Terms Of Trade or The Company's Credit Policy, The Voodoo Coffee Company reserves the right to cancel the customers account, and demand full payment of all outstanding moneys on the account.
6.3 Where any outstanding moneys remain unpaid, The Voodoo Coffee Company will exercise it's rights as outlined in its credit policy.

7. ORDER CANCELLATIONS AND REFUSAL TO ACCEPT GOODS

7.1 Any order cancellations must be received before the goods have been dispatched. If goods have already been dispatched at the time of attempted cancellation, responsibility for the order and all moneys owing for the order remains with the customer
7.2 Where the customer refuses to accept delivery of ordered goods at the time of delivery, the customer may be held liable for the goods and all moneys owing for the goods and any applicable freight charges.

8. WAIVER

The Voodoo Coffee Company's failure to insist upon the strict performance of any of these terms of trade shall not be deemed as a waiver of any rights that The Voodoo Coffee Company may have in respect of any breach by the customer of any of these terms.

9. EXPENSES

The customer will be held liable and must pay all fees and expenses relating to the taking of legal action against the customer by The Voodoo Coffee Company with respect to any breach of these terms of trade or The Voodoo Coffee Company's credit policy.

10. AMENDMENT OF TERMS OF TRADE

These terms of trade can not be varied, altered or amended unless such variation, alteration or amendment is in writing and signed by or on behalf of The Voodoo Coffee Company by at least one of its Directors.
